However the food was not so good.

Stoking the Fire

Before the upcoming EGM, a certain trustee (HC) is very active stoking the fire. He has managed to convince some trustees that old trustees must be retained and that there's no need to appoint new trustees.

Sad to say, some of the old trustees have fallen into the trap of this trustee (his initial are HC). They are now speaking his "words" for him. This will negate what we are trying to do, i.e. to revive the Toh Si Cheng Luan Seah.

Some don't understand my cover letter where I stated that those who wanted to attend the EGM 2010 must inform me by 17.06.10. The reason is that we can order the correct number of tables at Maple Gold Restaurant.

A few members thought that there will be 2 meetings, i.e. the one on the 17th and another on the 27th. Hmmm...what can I say? I thought my letter was crystal clear. The EGM 2010 will be held on the 27th June, 2010.
There is only ONE meeting. lol.

So far only 12 members have confirmed their attendance.

China trip slide show in 2007

I have been wanting to make a comment on the china trip of 2007 where Hock Chooi (the former president), Kheng Huat (the former secretary) and a few others went on a trip to China to visit the Beh Nuah Seah Village. Our roots our origin...

I did not go on that trip. It just that what they did was wrong because they spent over RM24,000 on the trip without the approval of the AGM. In fact very few members knew about the trip. I was against the trip BUT I was the lone voice 'against'...so it carries no weight. In fact, the former president wanted to sack me from the society for questioning him on the way he runs the society. (hmm...reminds me of Samy)

In my personal opinion, each and every one of them who went must pay back every sen that they took from the kongsi. But then who can make them pay? Conveniently, the society was deregistered by the Registrar of Societies. Was it planned by those involved in the scam???

I don't blame those who went along on the free trip because they were probably misled by the two (Hock Chooi and Kheng Huat) into thinking that they must go to the Toh Temple in Beh Nuah Seah Village to pray to our ancestors. If you really want to pray to our ancestors you don't have to go all the way to China to do that. You can do it right here in Penang at our Toh temple in Jelutong! The fact of the matter is that some don't even go to the temple in Jelutong but insist that they must go to the temple in China.

Well, there is a saying ignorance is bliss!

May our ancestors curse them and their descendants for 9 generations...

To All Members,

NOTICE is hereby given that the Extraordinary General Meeting of the Persatuan Toh Si Cheng Luan Seah Pulau Pinang for the year 2010 will be held on 27.06.2010 (Sunday) at 7.15 pm in Maple Gold Restaurant, Jalan Sultan Ahmad Shah, Penang.

WHEREAS

1. (Toh Si) Cheng Luan Seah (hereinafter referred to as the former Society) is presently the registered owner of the properties known as Lot 105 Section 18, Daerah Timur Laut, Georgetown, Pulau Pinang (hereinafter referred to as the said Property 1) and Lot 1310, Section 18, Daerah Timur Laut, Georgetown, Pulau Pinang (hereinafter referred to as the said Property 2).

2. The said Property 1 is jointly held in the name of the following trustees, namely Toh Hock Seng, Toh Chooi Oh, Toh Cheng Khean, Toh Eng Ho, Toh Cheng Kee and Toh Kow Chean. The said Property 2 is jointly held in the name of the following trustees, namely Toh Ewe Chye, Toh Hock Chuan, Toh Kok Peng, Toh Hock Chooi and Toh Boon Khim.

3. All of the above trustees of the said Property 1 are now deceased and all of the above trustees of the said Property 2 have resigned as trustees as of 31.12.2009 except Toh Ewe Chye, who is deceased.

4. By an order dated 16-05-2006, the former Society was struck off from the Registrar of Societies pursuant to Section 13(1) (d) of the Societies Act.

5. By mutual consensus and agreement, a new society called the Persatuan Toh Si Cheng Luan Seah Pulau Pinang was formed and registered on 5.9.2008 (hereinafter called the present Society). The present Society is for all intents and purposes deemed a continuation and succession of the former Society with substantially the same members.

6. The present Society now intends to appoint new trustees and vest the ownership of the said properties on the new trustees as follows.

7. The present Society also intends to give the necessary instructions and directions to Maybank (Kampung Baru and Pulau Tikus Branches) for the transfer of the former Society’s account for the benefit of the present Society.

IT IS NOW RESOLVED AS FOLLOWS:-

1. The following members are appointed as Trustees of Persatuan Toh Si Cheng Luan Seah Pulau Pinang pursuant to Section 25 of the Trustees Act.
i. Tor Ah Chneah (IC No. 531114-07-5039)
ii. Toh Boo Yee (IC No. 610713-07-5511)
iii. Toh Ban Pan (IC No. 530228-07-5171)

2. That the said Trustees are confirmed as joint trustees of the said Properties (the said Property 1 and Property 2) and shall hold and deal with the said Properties in accordance to the instructions and directions of the members of the Persatuan Toh Si Cheng Luan Seah Pulau Pinang and its constitution.

3. The office bearers of the Society are given mandate to give effect to the aforementioned resolution to vest the Properties (the said Property 1 and Property 2) in the name of the said Trustees.

4. The balance proceeds belonging to the former Society held under Current and Fixed Deposit Accounts in Maybank (Kampung Baru and Pulau Tikus Branches) are transferred and held in the name of the present Society who is mandated to place the proceeds of the said account into a new Bank Account held in the name of the present Society.

ANNUAL DINNER CANCELLED

With a sadden heart, I'd like to announce that our annual dinner has to be cancelled.

Went to Maybank Pulau Tikus branch this afternoon and the officer informed me that Hock Chooi (the former president) wrote a letter to Maybank informing them to suspend our account. Without any funds, we the present office bearers and committee had to cancel the annual dinner. Please inform all members. The hon. secretary is very busy sms and calling all those members with contact numbers to inform them of this matter.

Meanwhile, we are still trying to reregister our society with the help of ROS Penang branch. We will keep you guys inform of any new developments. Keep in touch by visiting this blogspot every now and then.

Bank Account Frozen

Maybank froze our bank account. Now no funds for operating expenses.
One thing after another...it's a bad omen for our society.
First, deregistered by the Registrar
Next, found out that our former President & Secretary are useless bums
(Last I heard from the former president was he wants to come back)
(I'm sure the former Sec. is also thinking the same thoughts)
Next, tenants at Cintra Street refused to pay rent
Now, bank account frozen.
What else can go wrong?
Our annual dinner is now in jeopardy.

Our appeal to ROS is ongoing. The letter has been forwarded to the Minister of Home Affairs
via ROS Penang.

Annual Dinner 2009

Our annual dinner will be held on the 10th April 2009 at Starview Restaurant, New World Park, Burmah Road, Penang. Each table costs RM378 with soft drinks but excl. beer.

Members should be receiving their invitation cards & scholarship application forms soon. Closing date for scholarship application is 29th. March 2009. If you haven't received the invitation letter, pls contact the secretary at 016-4925565 (best by sms) Extra seats at the dinner can be purchased at RM35 per person. Pls. don't bring friends and neighbours. They are NOT eligible for the dinner.

For the first time ever, member and member's wife are invited. ... maybe this is the last dinner?... the end of the road for us? who knows... we've been deregistered and our assets & liabilities will soon be taken over by the authorities. For those responsible for putting the Toh kongsi in this predicament, you will be cursed by our ancestors (believe it).

ROS wants our society to change its name but retained its old registration number 330. According to ROS, it is easier to do that than to reregister the society which was deregistered in May 2006. Therefore an EGM will be held on the 3rd Jan. 2009 at Paradise Hotel, Tanjung Bungah at 7.00 pm to discuss this matter.

Reregistration of the 'dead' society

A lot has happened in the past month (December 08). The pictures above says it all. 9 years of documents to be handed in to the Registrar of Societies office in Seberang Prai. The former secretary (Kheng Huat) who neglected his duties for so many years was suspended for 3 years and barred from holding any post in the society. Is it a fair decision? Please give your feedback.
The documents was handed in early December 2008. However, ROS wanted us to change our society's name as a precondition for reregistration.

Dialogue Session No. 2

A second dialogue session was held at the Lone Pine Restaurant at Paya Terubong between concern members and some of the committee members pertaining to the society's affairs.
Among the things discussed are as follows:
1. Police Report made against the former President (Hock Chooi) for alleged misappropriating society's funds. (Police Report No. CENTRAL/006141/08)
2. Legal proceedings against the tenants at 18, Cintra Street for failure to pay rent
3. To reregister the society under its original name and registration number.
4. Suspension of former Hon. Secretary for failure to carry out his job of sending in the annual statement to ROS (Registrar of Societies) resulting in our deregistration.

Only residents of Penang are allowed to join the Persatuan Toh Si Cheng Luan Pulau Pinang.
Those outstation members who are already registered members can continue to be members BUT their male siblings are not eligible to be members.
Only male members of the Toh Clan who originate from the Beh Nuah Seah Village in the Fukkien Province, China are allowed to be members.
The membership fee is set at RM200 (lifetime membership)
The ROS suggested a yearly fee of RM 12 but the committee prefers a one time membership fee of RM200.

CONSTITUTION OF
TOH SI CHENG LUAN SEAH PENANG

RULE 1 NAME AND REGISTERED ADDRESS
(1) The name of the Association shall be known as
TOH SI CHENG LUAN SEAH PENANG
Hereinafter known as the Association.

Its registered and correspondence address shall be at 18, Lebuh Cintra, 10100 Georgetown, Pulau Pinang. Or at such other place or places as may from time to time be decided on by the Committee. Its registered address shall not be changed without the prior approval of the Registrar of Societies.

RULE 2 OBJECTIVES
The principal objects for which the Association is formed are as follows:
(1) to promote unity
(2) to maintain mutual affection and understanding
(3) to render mutual assistance
(4) to arbitrate or settle disputes
(5) to worship ancestors of the Toh Clan.

RULE 3 MEMBERSHIPS
(1) The Association having originally been founded by Toh clansmen, including ‘Suah Ow Teoh,’ ‘Kuan Khow’, ‘Nai Nah’, ‘Tua Niah’, ‘Ch’eng Suah’,’Tor Teh', ‘Ng Chong’, any male person with the surname of Toh born in the Village of “Beh Nuah”, Tung Uah District, Hokkien Province , China and their male descendants shall be eligible for membership.
(2) Membership shall be opened to Malaysian citizens of good character, above the age of 21 years, who are residents of Penang and who supports the objectives and are willing to abide by the Constitution of the Association.
(3) There shall be no limit to the number of members in the Association and every application shall be registered as an individual.
(4) No University or College student shall be admitted as a member of the Association without prior consent in writing from the Vice Chancellor of the University or College concerned.
(5) Every application; must be proposed and seconded by two existing members and shall be forwarded to the Honorary Secretary of the Association who shall at the first opportunity submit it to the Committee for approval. The Committee may at, its discretion reject any application without assigning any reasons whatsoever..

(6) Every application that has been formally approved based on the above conditions shall be required to duly pay the registration fees stated in Section 4 (1) of this Constitution upon request in order to be officially considered as a member and shall be entitled to all privileges of membership.
(7) All members shall have equal rights in the Association unless otherwise stated in the Constitution of the Association.

RULE 4 REGISTRATION AND OTHER FEES
(1) The registration fees payable shall be as follows:-
(i) Life Membership Registration fee shall be RM200.00 per application.
(2) Additional fees or collection of certain matters shall only be raised and carried out with the approval of a General Meeting of members. If any member fails to pay such fees within such period as may be resolved, a reminder signed by the Honorary Secretary will be served in which the member must pay within 14 days. If the member fails to do so within the stipulated time, he shall cease to be a member and loses all rights as a member until the dues are settled.

RULE 5 RESIGNATIONS AND EXPLUSION
(1) Any members who wish to resign from the Association shall give 14 days notice in writing to the Honorary Secretary and shall settle all his dues.
(2) Any member who fails to comply with the Constitution of the Association or has acted in a manner likely to bring disrepute to the Association may be expelled or suspended for a period of time as the Committee deems fit. Before the Committee expels or suspends a member, the member shall be informed in writing of the ground for such expulsion or suspension and be given the opportunity to explain and absolve himself in person. Such suspension or expulsion shall be enforced, unless otherwise overruled by a General Meeting upon appeal by the said member.

RULE 6 GENERAL MEETING
(1) The supreme authority of the Association is vested in a General Meeting of the members. At least one half of the voting membership or two times the total numbers of members of the Committee whichever is less must be present at a General Meeting for its proceedings to be valid and to constitute a quorum.
(2) If half an hour after the time appointed for the meeting a quorum is not present, the meeting shall be postponed to a date (not exceeding 30 days) to be decided by the Committee, and if a quorum is not present half an hour after the time appointed for the postponed meeting, the members present shall proceed with the meeting but shall not have the powers to alter the rules

of the Association to make decisions affecting the whole
membership.
(3) An Annual General Meeting of the Association shall be held as soon as possible after the close of each financial year but not later than 31st of March on a date and at a time and place to be decided by the Committee. The business of the Annual General Meeting shall be as follows:-
(i) To receive the minutes of the previous general meeting
(ii) To receive the Committee’s report on the working of the Association during the previous year.
(iii) To receive the Treasurer report and the audited accounts of the Association for the previous year.
(iv) To elect a new Committee and appoint auditors every two (2) years.
(v) To deal with such other matters as may be put before it.
(vi) To address all proposals and suggestions written by members to the Honorary Secretary received 7 days before the Annual General Meeting.
(4) The Honorary Secretary shall send to all members at least 14 days before the Annual General Meeting notice of meeting including agenda, copies of minutes and reports, motions together with the audited accounts of the Association for the previous year. Copies of these documents shall also be made available at the registered address or place of meeting of the Association for the perusal of members.
(5) An Extraordinary General Meeting of the Association shall be convened:
(i) Whenever the Committee deems it desirable or,
(ii) At the joint request in writing of not less than 1/5 of the total voting members, stating the objects and reasons for calling such meeting.
(6) An Extraordinary General Meeting requested by members shall be convened for a date within 30 days of the receipt of such requisition.
(7) Notice and agenda for an Extraordinary General Meeting shall be forwarded by the Honorary Secretary to all members at least 14 days before the date fixed for the meeting.
(8) Rule 6(1) and 6(2) of this rule regarding the quorum and the postponement of the Annual General Meeting shall apply also to an Extraordinary General Meeting, but with the provision the if no quorum is present after half an hour from the time appointed for a postponed Extraordinary General Meeting, requested by the members, the meeting shall be cancelled, and no EGM shall be allowed for the some purpose until after the lapse of at least six months from the date hereof.

RULE 7 COMMITTEE
(1) A Committee of the Association consisting of the following shall be termed the Office Bearers of the Association and shall be elected at the Annual General Meeting.
(i) President
(ii) Vice President
(iii) Honorary Secretary
(iv) Honorary Assistant Secretary
(v) Honorary Treasurer
(vi) 5 Ordinary Committee Members

(2) The Office-Bearers of the Association and every officer performing executive functions in the Association shall be Malaysian citizens.
(3) Names for the above offices shall be proposed and seconded and election will be by simple majority vote of members at the Annual General Meeting. All of the Office-Bearers shall be eligible for re-election every two (2) years.
(4) A member who wishes to be elected as a candidate for the Committee must be present at the Annual General Meeting.
(5) A member whose membership is less than a year shall only have the right to vote but not to be admitted as a candidate.
(6) The function of the Committee is to organize and supervise the day to day activities of the Association and to make decisions on matters affecting its running within the general policy laid down by the General Meeting. The Committee may not act contrary to the expressed wishes of the General Meeting without prior reference to it and shall always remain subordinate to the General Meeting. It shall furnish a report at each Annual General Meeting on its activities during the previous year.
(7) The Committee shall meet at least once every 3 months and 7 days notice of each meeting shall be given to the members. The President acting alone or not less than 3 of the Committee Members acting together may call for a Meeting of the Committee to be held at any time. At least one half of the Committee Members must be present for its proceedings to be valid and to constitute a quorum.
(8) Where any urgent matter requiring the approval of the Committee arises and it is not possible to convene a meeting, the Honorary Secretary may obtain such approval by means of a circular letter. The following conditions must be fulfilled before a decision of the Committee is deemed to have been obtained:
(i) The issue must be clearly set out in the circular and
forwarded to all Members of the Committee.
(ii) At least one half of the Members of the Committee
must indicate whether they are in favour or against
the proposal.
(iii) The decision must be by a majority vote.

Any decision obtained by a circular letter be reported by the Honorary Secretary to the Committee in the next Committee Meeting and recorded in the minutes thereof.

(9) Any Member of the Committee who fails to attend 3 consecutive Meetings of the Committee without a satisfactory explanation shall be deemed to have resigned from the Committee.
(10) In the event of death or resignation of a Member of the Committee, the candidate who received the next highest number of votes at the previous election shall be invited to fill the vacancy. If there is no such candidate, or if such candidate declines to accept office, the Committee shall have the power to appoint any other member to fill the vacancy until the next Annual General Meeting.
(11) The Committee shall give instructions to the Honorary Secretary and other officers for carrying out the affairs of the Association. It may appoint such organizers and such staff as it deems necessary. It may suspend or dismiss any organizer or staff or member of the staff for neglect of duty, dishonesty, incompetence, refusal to carry out the decisions of the Committee, or for any other reasons which it deems good and sufficient in the interest of the Association.
(12) The Committee may form Sub-Committee, if necessary and shall give instructions regarding special duties to the Sub-Committee.

RULE 8 DUTIES OF OFFICE BEARERS

(1) The President shall during his term of office, preside at all General Meetings and all Meetings of the Committee and shall be responsible for the proper conduct of all such meetings. He shall have the casting vote and shall sign the minutes of each meeting at the time they are approved.
(2) The Vice President shall assist the President in his duties and shall deputise for him in his absence.
(3) The Honorary Secretary shall conduct the business of the Association in accordance with its rules and shall carry out the instructions of the General Meeting and of the Committee. He shall be responsible for conducting all correspondence and keeping all books, documents and papers except the accounts and financial records. He shall maintain a membership register with particulars of name, age, identity card numbers, occupation and address of every member. He shall attend all meetings and record the proceedings. He shall within 60 days after the holding of the Annual General Meeting, submit the annual returns of the Association to the Registrar of Societies as required under section 14(1) of the Societies Act, 1966.
(4) The Honorary Assistant Secretary shall assist the Secretary in his duties and deputise for the Honorary Secretary during his absence.
(5) The Honorary Treasurer shall be responsible for the finance of the Association keep account of all its financial transactions and shall be responsible for their correctness.
(6) The Ordinary Committee Members will assist in the running of the Association.

RULE 9 FINANCIAL PROVISIONS
(1) The Association’s fund shall be used for the benefits in carrying out the Association various purposes and objectives including administrative, salaries, services of Auditors, allowances and expenses to its Office Bearers and paid staff but not to be used for paying fines of its members for the breaking of any offences or who may be convicted in a court of law.
(2) The Honorary Treasurer shall keep not more than RM100 cash at any one time. Money in excess of this amount shall be deposited in a Bank approved by the Committee. The Bank account shall bear the Association’s name.
(3) All statements of expenditure or cheques of the Association compulsory signature of the Treasurer and either or both of the Treasurer and either or both of the President and Honorary Secretary.
(4) Expenses below RM100 at any one time may be approved by the Honorary Treasurer and the President or Honorary Secretary. Expenses from RM100 to RM500 at any one time may be approved by the Committee. Expenses more that RM500 at any one time must obtain prior approval from a General Meeting.
(5) As soon as possible after the end of each financial year, a statement of receipts and payments and a balance sheet for the year shall be prepared by the Honorary Treasurer and audited by Auditors appointed under Rule 10. The audited accounts shall be submitted for approval of the next Annual General Meeting and copies shall be made available at the registered address or place of meeting of the Association for the perusal of members.
(6) The date of the commencement of each financial year of the Association shall be from the 1st of January and shall end on the 31st of December annually.

RULE 10 AUDITORS
(1) Two Persons, who shall not be Office Bearers of the Association, shall be elected at each Annual General Meeting as Honorary Auditors. They shall hold office for two years only and may not be re-elected.
(2) The Auditors shall be required to audit accounts of the Association for the year, and to prepare a report for the Annual General Meetings. They may also be required by the President to audit the accounts of the Association for any period within their tenure of office at any date, and to make a report to the Committee.

RULE 11 TRUSTEES
(1) Three Trustees above 21 years of age shall be elected at the Annual General Meeting and shall hold office during the pleasure of the Association. All immovable assets and properties of the Association shall be entrusted to them through the signing of a Deed of Trust.
(2) The Trustees shall have no rights to sell withdraw or exchange the assets and properties of the Association without the consent and authority obtained by a General Meeting.
(3) A Trustee may be removed from his position by a General Meeting because of sickness or health problems, unsoundness of mind, absence from or not in Penang or any other reasons that prevent him/her from carrying out his/her duties efficiently and satisfactorily. In the event of death or resignation or removal of a Trustee, a new Trustee shall be appointed by a General Meeting.

RULE 12 INTERPRETATION OF RULES
(1) Between General Meetings, the Committee shall interpret the rules of the Association and when necessary, determine any point on which the rules are silent.
(2) Except where they are contrary to or inconsistent with the policy previously laid down by the General Meeting, the decisions of the Committee shall be binding on all members of the Association until countermanded by a resolution of a General Meeting.

RULE 13 ADVISORS
(1) The Committee may appoint qualified persons to become Advisors for the Association as it deem necessary.

RULE 14 PROHIBITIONS
(1) None of the following games shall be played in the premises of the Association.
Roulette, Lotto, FanTan, Poh, Peh Bin, Belangkai, Pai Kau, Tau Ngau, Ten and a half, Tien Koy, Chap Ji Kee, Sam Cheong, Twenty One, Thirty One and all games of dice banker’s game, video games and all games of mere chance.
(2) The Association shall not hold any lottery, whether confined to its members or not, in the name of the Association or its Office Bearers, Committee or members without prior approval from the appropriate authorities concerned.
(3) Benefits as stated in Section 2 of the Societies Act, 1966 shall not be given by the Association to any member or his/her dependent.
(4) This Association shall be free from any political activities.
(5) The introduction of immoral activities and bad characters into the premises of the Association is strictly prohibited.
(6) The Association and its members shall not attempt or restrict or interfere with the trade or prices or engage in any trade union activities as defined in the Trade Union Act 1959.

RULE 15 AMENDMENT OF RULES
(1) These rules may not be altered or amended except by resolution of a General Meeting. Application for any such alterations or amendments shall be made to the Registrar of Societies within sixty (60) days from the date of approval by the General Meeting. Such alterations or amendments shall take effect only from the date of approval by the Registrar of Societies.

RULE 16 DISSOLUTION
(1) The Association may be voluntarily dissolved by a resolution of not less than 3/5 of the total voting membership at a General Meeting specially convened for that purpose.
(2) In the event of the Association being dissolved as provided above, all debts and liabilities legally insured on its behalf shall be fully discharged, and the remaining funds shall be disposed off in such manner as may be decided upon by a General Meeting.
(3) Notice or dissolution shall be given within 14 days of the dissolution to the Registrar of Societies.

DIALOGUE SESSION HELD ON THE 22ND. JUNE 2008

Among the points raised during the dialogue session are:
1. from now on the membership fees to be collected is RM2 only and
no other additional forced donations.
2. the wives of registered members will be invited to the annual dinner. please don't misused
this new ruling by bringing your friends and neighbours.
3. blame for the deregistration of the kongsi be placed squarely on the previous president's shoulders (Mr. Toh Hock Chooi)
4. to take legal action against Mr. Toh Hock Chooi / Mr. Toh Han Ein so that all kongsi
documents be handed to the auditor eg. payment vouchers, cheque counterfoil, etc. so that
the accounts can be settled in the near future.
5. to reaffirm the sacking of Mr. Toh Hock Chooi as trustee and member of the kongsi.
to advertise in major newspapers so as to inform the public that Mr. Toh Hock Chooi does
not represent the kongsi any longer.
6. to investigate why the two tenants at 18 Cintra Street have not been paying the rent for the
past two years and what actions was taken by the previous treasurer.
7. the trip to China was not done in the correct manner. Eventhough it was in the minutes of the AGM in 2006 , but it should not be under "general" or "other matters". As a large sum of kongsi money was spend, all members must be informed. However this was not done.

The present committee will meet and discuss about all the points raised during the dialogue
session in the next meeting to be held in August 2008.
